Acceptance of Terms

By accessing or using the Alpha Sentinel website at www.alphasentinel.ai (the "Site") or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our Services.

These Terms constitute a legally binding agreement between you and Alpha Sentinel ("we," "us," or "our"). Your use of the Services also constitutes your acknowledgement of our Privacy Policy, which is incorporated into these Terms by reference.

You represent that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization.

Definitions

• "Content" means all text, data, market information, alerts, analyses, reports, graphics, and other materials available through the Services.
• "Market Data" means real-time and historical financial data obtained from our third-party data providers (Polygon.io, Twelve Data, Alpha Vantage).
• "AI Content" means any text, summaries, analyses, or other output generated in whole or in part by artificial intelligence tools used in connection with the Services.
• "Subscription" means your paid plan providing access to premium features of the Services.
• "You" or "Subscriber" means the individual or entity accessing or using the Services.

Description of Services

Alpha Sentinel is a financial publisher. We provide watchlist alerts, market data summaries, and analytical tools to help you monitor securities of your choosing. Our Services include:

• Customizable ticker watchlists with real-time and historical market data
• Alerts delivered via email, SMS, or push notification based on criteria you set
• AI-powered market summaries and analysis
• Dashboards and reporting tools

We may modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will make reasonable efforts to notify Subscribers of material changes in advance.

Not Investment Advice

Alpha Sentinel does not provide investment advice, financial advice, trading advice, or any other form of advice. All Content is provided for informational and educational purposes only and does not constitute a recommendation to buy, sell, or hold any security, financial product, or investment strategy.

You are solely responsible for your own investment decisions. You should consult a qualified financial professional before making any investment decision. We do not know your financial situation, risk tolerance, or investment objectives.

Past performance of any security discussed on our platform is not indicative of future results. Investing involves risk, including the possible loss of principal.

Account Registration & Security

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password confidential and not share it with any third party
• Notify us immediately at support@alphasentinel.ai if you suspect unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

Each account is for a single individual user. You may not share your login credentials or allow multiple people to access the Services through a single account. We reserve the right to suspend or terminate any account that we reasonably believe is being shared.

We strongly recommend that you enable multi-factor authentication (MFA) on your account. See our Security page for details.

Subscription & Billing

6.1 — Paid Plans

Certain features of the Services require a paid Subscription. Subscription pricing, features, and plan details are described on our Pricing page and may be updated from time to time.

6.2 — Billing & Payment

All payments are processed by Stripe, Inc. By subscribing, you authorize Stripe to charge the payment method on file on a recurring basis (monthly or annually, depending on the plan you select). We do not store or have access to your credit card number.

6.3 — Auto-Renewal

Your Subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. The renewal charge will be at the then-current rate for your plan.

6.4 — Cancellation

You may cancel your Subscription at any time through your account settings or by contacting us. Upon cancellation, you will retain access to paid features through the end of your current billing period. No partial refunds are issued for the remaining portion of a billing period after cancellation.

6.5 — Price Changes

We may change Subscription pricing at any time. We will provide at least 30 days' advance notice of any price increase via email. If you do not agree to a price change, you may cancel your Subscription before the new price takes effect.

6.6 — Free Trials

If we offer a free trial, your payment method may be charged at the trial's conclusion unless you cancel before the trial ends. Trial eligibility is limited to one per individual.

6.7 — Taxes

All fees are exclusive of applicable taxes. You are responsible for any sales, use, or value-added taxes imposed on your Subscription, excluding taxes on our net income.

Acceptable Use

You agree to use the Services only for lawful purposes. You may not:

• Copy, redistribute, republish, retransmit, or commercially exploit any Content or Market Data, in whole or in part, without our prior written consent
• Use automated systems (bots, scrapers, crawlers) to access the Services or extract data
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any software used to provide the Services
• Interfere with, disrupt, or place an undue burden on the Services or any servers or networks connected to the Services
• Impersonate any person or entity, or falsely claim an affiliation with any person or entity
• Use the Services to transmit any harmful, unlawful, threatening, abusive, or otherwise objectionable material
• Use the Content or Market Data to create a competing product or service
• Circumvent, disable, or otherwise interfere with security-related features of the Services
• Use the Services in any manner that could damage, overburden, or impair the Site

We reserve the right to suspend or terminate your access if we reasonably determine that you have violated these terms.

Intellectual Property

All Content, software, trademarks, logos, trade names, and other intellectual property displayed on or used in connection with the Services are owned by Alpha Sentinel or our licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.

Limited License. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use. This license does not include any right to resell, redistribute, or commercially exploit the Services or any Content.

Your receipt of the Services does not constitute a sale of any software or intellectual property. All rights not expressly granted herein are reserved by Alpha Sentinel and our licensors.

Feedback. If you provide us with feedback, suggestions, or ideas regarding the Services, you grant us a perpetual, worldwide, royalty-free license to use, modify, and incorporate that feedback without obligation to you.

Market Data Disclaimer

Market Data provided through the Services is sourced from third-party providers (Polygon.io, Twelve Data, and Alpha Vantage). While we use institutional-grade data feeds, we do not guarantee the accuracy, completeness, timeliness, or reliability of any Market Data.

Market Data may be delayed, interrupted, or contain errors. Data providers' systems may experience outages. You acknowledge that:

• Market Data is provided "as is" and "as available"
• We are not responsible for errors, omissions, or delays in Market Data
• You should not rely solely on Market Data from our Services for any investment decision
• Real-time data may be subject to exchange display requirements or delays

Our data providers do not have access to your personal information. Data flows one direction only: from the provider to us.

AI-Generated Content

Certain features of the Services use artificial intelligence tools provided by Anthropic (Claude) and OpenAI (ChatGPT) to generate market summaries, analysis, and other content.

You acknowledge and agree that:

• AI Content is provided for informational purposes only and does not constitute investment advice
• AI Content may contain factual errors, hallucinations, or outdated information
• You are solely responsible for verifying the accuracy of any AI Content before relying on it
• We do not guarantee the accuracy, reliability, or completeness of any AI Content
• We do not transmit your personal information to AI providers (see our Privacy Policy, Section 9)

Disclaimer of Warranties

We do not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant that any Content, Market Data, or AI Content is accurate, complete, reliable, current, or error-free.

Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, the above exclusions apply to the fullest extent permitted by law.

Limitation of Liability

This limitation applies to all theories of liability, whether based on contract, tort (including negligence), strict liability, or any other legal theory.

Specific exclusion: Without limiting the foregoing, we shall not be liable for any losses arising from investment decisions you make, whether or not such decisions were informed by Content, Market Data, or AI Content obtained through the Services.

Some jurisdictions do not allow limitations on certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Alpha Sentinel, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Services
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your violation of any rights of a third party
• Any investment decision you make based on Content, Market Data, or AI Content obtained through the Services

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us. You agree to cooperate with our defense of such claims.

Termination

14.1 — By You

You may terminate your account at any time by canceling your Subscription (if applicable) and contacting us to request account deletion. Upon termination, your right to use the Services ceases immediately (subject to any remaining paid billing period).

14.2 — By Us

We may suspend or terminate your account and access to the Services at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, fraudulent activity, non-payment, or conduct that we reasonably believe is harmful to other users or our business.

14.3 — Effect of Termination

Upon termination, all rights and licenses granted to you under these Terms cease immediately. Sections that by their nature should survive termination will survive, including: Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law & Dispute Resolution, and this Section.

We will delete or anonymize your personal information in accordance with our Privacy Policy, Section 16.

Governing Law & Dispute Resolution

15.1 — Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict-of-law provisions.

15.2 — Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. The arbitration shall be conducted in Mercer County, New Jersey (or remotely, at the arbitrator's discretion). The arbitrator's award shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

15.3 — Class Action Waiver

15.4 — Small Claims Exception

Notwithstanding the above, either party may bring an individual action in small claims court in Mercer County, New Jersey, if the claim qualifies.

15.5 — Equitable Relief

Nothing in this Section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.

Force Majeure

Neither party shall be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, pandemics, government actions, natural disasters, power or internet outages, labor disputes, failures of third-party providers, or cyberattacks.

Modifications to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Effective Date" and notify you by email or prominent notice on the Site at least 30 days before the changes take effect.

Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Services and cancel your Subscription before the effective date.

General Provisions

18.1 — Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Alpha Sentinel regarding the Services and supersede all prior or contemporaneous agreements, representations, or understandings.

18.2 — Severability

If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

18.3 — Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Alpha Sentinel.

18.4 — Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

18.5 — Notices

Notices to you may be provided via email to the address associated with your account or by posting on the Site. Notices to us must be sent to support@alphasentinel.ai or by mail to the address below.

18.6 — Third-Party Beneficiaries

These Terms do not confer any rights on any third party, except that our data providers (Polygon.io, Twelve Data, Alpha Vantage) are intended third-party beneficiaries of the provisions of Sections 9 (Market Data Disclaimer), 11 (Disclaimer of Warranties), and 12 (Limitation of Liability) as they relate to Market Data.

18.7 — Electronic Communications

By using the Services, you consent to receiving electronic communications from us. These communications may include account notifications, service announcements, and legal notices. You agree that all agreements, notices, and other communications provided electronically satisfy any legal requirement that such communications be in writing.
